Terms of Service

Effective date: April 11, 2026

Please read these Terms of Service (“Terms”) carefully before using Votiq.io (the “Service”) operated by Votiq (“we”, “us”, or “our”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Votiq. By creating an account, accessing the Service, or using any feature of Votiq.io, you confirm that you are at least 16 years old, have the legal capacity to enter into contracts, and accept these Terms in full. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Votiq is a multi-tenant SaaS platform that enables software companies (“Vendors”) to host public or private feedback boards where their end users (“Users”) can submit feature requests, vote, comment, and optionally pledge money toward feature development via the crowdfunding module. The Service is accessed via the Votiq dashboard at app.votiq.io, embeddable widgets, REST API, and optionally through custom domains or white-label configurations.

Core capabilities include: feedback boards, post voting, status updates, changelogs, roadmaps, crowdfunding campaigns, Stripe Connect payouts, AI-powered duplicate detection and sentiment analysis, and multi-language localisation.

3. Account Registration & Responsibilities

To access Vendor features you must register for an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain the security of your password and API keys; (c) notify us immediately of any unauthorised use of your account; and (d) accept responsibility for all activity that occurs under your account.

You may not share account credentials with unauthorised third parties, create accounts for automated data collection beyond our published API terms, or impersonate any person or entity.

4. Subscription Plans & Billing

Votiq offers the following subscription tiers:

  • Free — Limited boards, posts, and voters. No crowdfunding.
  • Starter — $29 / month — Up to 3 boards, 500 voters, basic branding, no crowdfunding.
  • Growth — $79 / month — Unlimited boards, 5,000 voters, crowdfunding enabled (3% commission), custom domain.
  • Business — $199 / month — Unlimited voters, white-label, advanced analytics, crowdfunding (1.5% commission), API access, priority support.
  • Enterprise — Custom pricing — Volume, SLA, dedicated infrastructure, SSO, custom contract.

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as expressly stated herein or required by applicable law. We reserve the right to change pricing with 30 days’ written notice. If you downgrade your plan and your current usage exceeds the new plan’s limits, features may be restricted until you reduce usage. Annual plan holders receive a pro-rated credit if they upgrade mid-cycle.

Failure to pay may result in suspension of the Service. A 10-day grace period applies to failed payments before suspension. Taxes (VAT, GST, etc.) may be added to invoices based on your billing address and applicable law.

5. Crowdfunding Terms

The crowdfunding module allows Vendors to run campaigns tied to specific feature requests. Pledges made by Users are pre-purchases for future product features, not equity investments, donations, or guarantees of delivery.

Votiq supports three campaign models:

  • All-or-Nothing (AON) — Pledges are only captured if the campaign reaches its funding goal before the deadline. If the goal is not met, all pledges are automatically cancelled and no charges are made.
  • Flexible Funding — Pledges are captured at the campaign deadline regardless of whether the funding goal is reached. Vendors receive whatever amount was pledged.
  • External Payment — Votiq tracks pledge intent but payment is handled outside the platform (e.g., invoice, direct payment link). Votiq does not process or hold funds in this model.

Vendors must have an active Growth, Business, or Enterprise plan and a connected Stripe account (via Stripe Connect) to accept AON or Flexible campaigns.

6. Crowdfunding Commission

Votiq charges a platform commission on funds disbursed through AON and Flexible campaigns. Commission rates by plan:

  • Growth — 3% of funds raised per campaign
  • Business — 1.5% of funds raised per campaign
  • Enterprise — negotiated rate (minimum 1%)

Commission is automatically deducted before funds are transferred to the Vendor’s Stripe account. Stripe payment processing fees (typically 1.4%–2.9% + fixed fee depending on card type and geography) apply separately and are borne by the Vendor. Commission rates are subject to change with 30 days’ notice.

7. Pledge & Refund Policy

Before capture: Users may cancel their pledge at any time before funds are captured (i.e., before an AON campaign reaches its goal and closes, or before the Flexible campaign deadline). Cancellation is available via the User portal or by contacting the Vendor.

After capture: Once funds are captured, refunds are available in the following circumstances:

  • The Vendor does not deliver the funded feature within their stated delivery window.
  • The Vendor explicitly cancels the campaign or feature after funds are captured.
  • Votiq determines, following a dispute review, that the Vendor materially misrepresented the campaign.

To request a refund, Users must submit a dispute via the platform or email legal@votiq.io within 30 days after the Vendor’s stated delivery window expires. Votiq will review the dispute within 15 business days. Approved refunds are returned to the original payment method. Votiq’s commission is also refunded in full on approved disputes. Stripe processing fees may not be recoverable.

8. Vendor Responsibilities & Trust Profile

Vendors who enable crowdfunding accept additional obligations:

  • Maintain an accurate and up-to-date Vendor Trust Profile (company name, description, website, and contact email) visible to pledgers.
  • Set a realistic delivery window for each campaign and update campaign status promptly.
  • Notify pledgers of any material changes to campaign scope or timeline.
  • Not use campaign funds for purposes unrelated to the stated feature or product.
  • Comply with all applicable laws including consumer protection, data protection, and tax regulations in their jurisdiction.

Votiq reserves the right to suspend or terminate a Vendor’s crowdfunding access if they accumulate excessive disputes, fail to deliver on campaigns, or violate these Terms.

9. Dispute Resolution

In the event of a dispute between a User and a Vendor regarding a crowdfunding campaign, Votiq may, at its sole discretion, act as a neutral facilitator. Votiq is not obligated to mediate disputes but will review documented complaints submitted to legal@votiq.io.

Votiq’s decisions regarding refunds are final but do not affect any legal remedies available to either party. Disputes arising under these Terms that cannot be resolved informally shall be subject to binding arbitration in accordance with Section 19 (Governing Law).

10. Payment Processing

Subscription billing is processed by Stripe, Inc.. Crowdfunding payouts use Stripe Connect, which requires Vendors to agree to Stripe’s Connected Account Agreement. By enabling crowdfunding you authorise Votiq to instruct Stripe to capture, hold, and disburse pledge funds on your behalf.

Votiq does not store full credit card numbers. All payment data is tokenised by Stripe. Votiq is not responsible for Stripe’s service availability, errors, or policy changes.

11. Tax Responsibility

Votiq is not a tax advisor. Vendors are solely responsible for determining and remitting any taxes (including sales tax, VAT, GST, income tax, or withholding tax) arising from funds received through the platform. Votiq may collect and remit VAT on subscription fees where required by law (e.g., EU VAT). Vendors must provide accurate tax identification information where requested.

12. Intellectual Property

The Service, including its software, design, trademarks, logos, and content created by Votiq, is owned by Votiq and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works of any Votiq content without our express written permission.

You retain ownership of all content you submit to the Service (feature requests, comments, campaign descriptions, etc.). By submitting content, you grant Votiq a worldwide, non-exclusive, royalty-free licence to host, display, and process that content solely for the purpose of providing and improving the Service. You represent that you have all rights necessary to grant this licence.

13. API Usage Terms

Votiq provides a REST API at /api/v1/ to Vendors on Growth, Business, and Enterprise plans. API access is governed by the following additional terms:

  • API keys must be kept confidential. You are responsible for all API calls made with your key.
  • Rate limits apply by plan tier (Growth: standard; Business: elevated; Enterprise: custom). Exceeding rate limits may result in temporary throttling or suspension of API access.
  • The API must not be used to scrape data at scale, reverse-engineer the Service, build competing products, or violate any third-party rights.
  • Votiq reserves the right to deprecate or change API endpoints with 60 days’ notice for breaking changes and 14 days’ notice for non-breaking changes.
  • Webhook endpoints must respond within 10 seconds and handle retries idempotently.

14. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in that policy. Vendors who process personal data of EU residents must ensure they have a lawful basis for such processing and, where required, maintain a Data Processing Agreement with Votiq.

15. White-Label & Custom Domain Terms

Business and Enterprise plans may configure a custom domain to serve the feedback portal under their own brand. Vendors are responsible for: (a) maintaining valid DNS records pointing to Votiq infrastructure; (b) ensuring their custom domain complies with applicable law; and (c) not misrepresenting the origin of the platform to end users in a way that constitutes fraud.

White-label configuration removes Votiq branding from the public portal. However, these Terms of Service remain applicable to all parties. Votiq’s name may appear on payment receipts, legal notices, and email footers as required by law.

16. Acceptable Use & Prohibited Conduct

You agree not to use the Service to:

  • Upload or transmit content that is unlawful, harmful, defamatory, or infringing.
  • Run fraudulent crowdfunding campaigns or solicit pledges with no intent to deliver.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorised access to the Service or its related systems.
  • Violate any applicable law, including GDPR, CCPA, consumer protection, or anti-money-laundering regulations.
  • Send unsolicited communications to Users without their consent.

Votiq reserves the right to remove any content and suspend any account that violates this section without prior notice.

17. Termination & Suspension

By you: You may cancel your subscription at any time from the billing settings page. Cancellation takes effect at the end of the current billing cycle. Data is retained for 30 days after cancellation during which you may export it; after that period your data may be deleted.

By Votiq: We may suspend or terminate your account immediately if you: (a) breach these Terms; (b) fail to pay fees; (c) engage in fraudulent activity; or (d) if we are required to do so by law. We will provide reasonable advance notice of termination where practicable unless the termination is due to illegal activity or security risk.

Upon termination, your right to access the Service ceases. Sections 6, 7, 9, 11, 12, 18, 19, and 20 survive termination.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Votiq and its officers, directors, employees, and agents shall not be liable for: (a) any indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, data, goodwill, or business opportunities; arising out of or relating to your use of the Service, even if Votiq has been advised of the possibility of such damages.

Votiq’s total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (i) the fees paid by you to Votiq in the 12 months preceding the claim, or (ii) $100 USD.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so the above limitations may not apply to you.

19. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any legal action that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware. You waive any objection to personal jurisdiction or venue in those courts.

For EU/EEA residents, nothing in this section limits your rights under applicable mandatory local consumer protection laws.

20. Changes to Terms

We may modify these Terms from time to time. If changes are material, we will notify you by email or prominent notice on the Service at least 14 days before the changes take effect. By continuing to use the Service after the effective date, you accept the revised Terms. If you do not agree, you must stop using the Service and cancel your subscription before the effective date.

21. Miscellaneous

These Terms, together with the Privacy Policy and any order forms or addenda, constitute the entire agreement between you and Votiq with respect to the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Votiq’s failure to enforce any right or provision does not constitute a waiver. You may not assign your rights under these Terms without Votiq’s prior written consent.
